Freshworks has signed a definitive agreement to acquire Torii, a software management platform, as it broadens Freshservice’s capabilities in managing enterprise software and AI spending. The companies announced the agreement on 12 October.
Freshworks says the combination would bring information about applications, licences, users and technology costs into a shared view, helping IT and finance teams make decisions using the same information.
The proposed acquisition addresses a challenge Torii’s founders have pursued since starting the company in 2017: businesses often struggle to identify all the software they use, who uses it and what it costs. In his announcement, Torii CEO and co-founder Uri Haramati described how separate tools left teams with incomplete information.
According to Haramati, AI has made this problem more complex. Usage-based charges can be difficult to budget for, while new tools may enter an organisation without its IT team knowing. He argues that managing this activity needs to become part of existing service desks, access approvals and asset management processes.
Freshworks says Torii can track AI consumption at the token level, assign costs to individual employees or teams and forecast spending. These capabilities are intended to help organisations set limits and detect unexpected increases in usage.
The announcement identifies Hearst Corporation, Groupon and Koch, Inc. among Torii’s customers. Freshworks positions the acquisition as a way to connect software spending oversight with everyday IT operations.
For existing customers, the agreement does not mean an immediate operational change. Torii says it will remain independent until the transaction closes. Its integrations, workflows, support contacts and renewal terms remain unchanged during this period, and its teams continue developing products and signing customers.
The transaction is expected to close during Freshworks’ fourth fiscal quarter of 2026, subject to customary closing conditions. Torii says further details about the companies’ joint plans will follow after completion. The acquisition is therefore agreed but not yet completed.
